«المشروعات الصناعية والهندسية» تستحوذ على شركتين مقابل 740 مليون جنيه
أعلنت شركة المشروعات الصناعية والهندسية عن موافقة مجلس إدارتها، على تنفيذ خطتي استحواذ كاملتين، وذلك وفقًا لإفصاح مقدم إلى البورصة المصرية. وأوضحت الشركة، في بيان مرسل للبورصة المصرية اليوم، أنها وافقت على الاستحواذ على كامل أسهم شركة إنتربرايز سيجما تكنولوجي، بقيمة إجمالية 300 مليون جنيه، وبما لا يزيد على القيمة العادلة التي يحددها المستشار المالي المستقل. كما وافق المجلس، على الاستحواذ على كامل أسهم شركة الجراجات الذكية، بقيمة إجمالية 440 مليون جنيه، وذلك أيضًا في حدود القيمة العادلة المحددة من المستشار المالي المستقل. وأكدت الشركة أن تنفيذ عمليتي الاستحواذ مشروط بالحصول على كافة الموافقات اللازمة من الهيئة العامة للرقابة المالية، والهيئة العامة للاستثمار، والبورصة المصرية، بالإضافة إلى موافقة الجمعية العامة غير العادية، مع الالتزام بتقديم جميع الإفصاحات القانونية المطلوبة. وقرر مجلس الإدارة تفويض العضو المنتدب بالتوقيع على عقود الاستحواذ مع مساهمي الشركتين، تمهيدًا لعرضها على الجمعية العامة غير العادية، كما تم تفويض رئيس مجلس الإدارة بدعوة الجمعية للانعقاد للنظر في الاستحواذ والمصادقة على دراسة المستشار المالي المستقل وتقرير مراقب الحسابات.Jim Cramer sees a big risk to the bull market resurfacing — and it's not the Iran war
