«بي إنفستمنتس» تستهدف الاستحواذ على 53.5% من «BIG Investment Group»
أعلنت شركة بي إنفستمنتس القابضة موافقة مجلس إدارتها على الاستحواذ على نسبة 53.5% من شركة مجموعة بيج للاستثمار المحدودة (BIG Investment Group Ltd)، والتي تساهم بنسبة 20.4% في شركة مدينة مصر للإسكان والتعمير. وأوضحت الشركة، في إفصاح للبورصة المصرية، أن عملية الاستحواذ ستتم مقابل حصول مساهمي شركة BIG Investment Group على أسهم زيادة في رأس مال «بي إنفستمنتس»، وفقًا للقواعد المعمول بها في البورصة المصرية. ووافق مجلس الإدارة على تفويض رئيس مجلس الإدارة أو العضو المنتدب في تعيين مستشار مالي مستقل، من بين المستشارين المسجلين لدى الهيئة العامة للرقابة المالية، حال الحاجة إلى ذلك، إلى جانب اعتماد تقرير الإفصاح وفقًا للمادة 48 من قواعد القيد. كما وافق المجلس على دعوة الجمعية العامة غير العادية للشركة للانعقاد بعد الحصول على اعتماد الهيئة العامة للرقابة المالية. وفي قرار آخر، وافق مجلس الإدارة على تفويض رئيس مجلس الإدارة أو العضو المنتدب بدعوة الجمعية العامة العادية للانعقاد، للنظر في إسقاط حق الأفضلية المقرر للشركة في الاكتتاب في زيادة رأس مال شركة بي فينتشرز للدراسات والخدمات الفنية، إحدى الشركات التابعة لـ«بي إنفستمنتس القابضة».
