عرض استحواذ من بنك البركة على شركة التوفيق للتأجير التمويلي

الهيئة العامة للرقابة المالية أعلنت تلقيها كتابًا من الممثل القانوني لبنك البركة مصر، يتضمن نية البنك التقدم بعرض شراء إجباري على أسهم شركة التوفيق للتأجير التمويلي، بهدف الاستحواذ على نسبة تتراوح بين 51% و90% من إجمالي أسهم الشركة. مبادلة أسهم دون خيار نقدي أوضحت الهيئة أن العرض سيكون في صورة مبادلة أسهم فقط دون وجود خيار نقدي، إذ سيصدر بنك البركة مصر أسهم زيادة في رأس ماله لصالح مساهمي الشركة المستجيبين للعرض، بحد أقصى 8% من إجمالي أسهم البنك. وسيتم تحديد معامل المبادلة بواسطة مستشار مالي معتمد من الهيئة، علمًا بأن بنك البركة مصر يمتلك حاليًا نحو 7.62% من أسهم الشركة المستهدفة. مهلة تقديم العرض والتحذير للمستثمرين ذكرت الهيئة أن مقدم العرض ملزم بتقديمه خلال 60 يومًا من تاريخ الإفصاح، مع إمكانية تمديد المهلة لمدة مماثلة في حال وجود أسباب جدية. كما دعت الهيئة المستثمرين إلى توخي الحذر والدقة عند اتخاذ أي قرارات استثمارية تتعلق بهذا العرض.
